Product Download Terms and Conditions

The software that you are about to download is proprietary and belongs to GCS Software. The software is copyrighted and protected by GERMAN and international laws. You may download and use the software only in the following manner:

By clicking the acceptance button, where applicable, or by installing and using the Product, You are taking affirmative action to signify that You are entering into a legal agreement and are agreeing to be bound by its terms, EVEN WITHOUT YOUR SIGNATURE. 
GCS Software is willing to license the Product to You ONLY if You are willing to accept all of these terms. CAREFULLY READ THIS AGREEMENT. 
If You do not agree to its terms, DO NOT install or use the Product; or promptly contact GCS Software, or Your GCS Software reseller, and Your money will be refunded (and the License will terminate) if by such time You have already purchased a full-use License. 

TRIAL SOFTWARE LICENSE AGREEMENT FOR GCS PRODUCTS 
This is a legal and binding Trial Software License Agreement ("Contract") between You (either an individual or an entity) and GCS Software ("GCS"). 
Before installing or using the Product, please provide this Contract to Your counsel or management, so that the applicable authority has an opportunity to review it. 
You may reject the Contract (and return the Product Media, where applicable) if these terms are unacceptable or cannot be resolved through negotiation.

DEFINITIONS. 
As used in this Contract: 
(a) "Software" means the original trial-use computer files (including all computer programs and data stored in such files) delivered on the Media (or electronically) and all whole or partial copies thereof, including modified copies and portions merged into other programs; 
(b) "Documentation" means the related trial-use hardcopy or electronically reproducible technical documents associated with the Software; 
(c) "Media" means the materials containing the Software and/or Documentation (if You receive a Product electronically, references to Media will not apply to You); and 
(d) "Product" means collectively the Media, Software, and Documentation, and Product updates, if any, subsequently provided to You. 

TRIAL LICENSE. 
GCS grants to You, and You may accept by these terms, a non-exclusive trial license ("License") to use the Product for a limited time ("Trial Period") only for evaluation; 
You may not use the Product for commercial, production or other purposes. When the Trial Period ends, the License and Your right to use the Product automatically expire. 
When the License expires or is terminated, You must erase or destroy all components of the Product including all (but archival) copies of the Software, and stop using or accessing the Software. You may terminate Your License at any time for any reason. 
The License and Your right to use the Product will terminate automatically with or without notice by GCS if You fail to comply with any material term of this Contract. 
IF YOU USE THE PRODUCT FOR OTHER THAN EVALUATION PURPOSES OR WISH TO CONTINUE USING IT AFTER THE TRIAL PERIOD, YOU MUST PURCHASE A FULL-USE LICENSE UNDER THE TERMS AVAILABLE FROM GCS SOFTWARE OR YOUR RESELLER. 
There is no fee for this License, and, as such, Your use of the Product is on an AS IS basis;
GCS, ITS RESELLERS AND LICENSORS GRANT NO WARRANTIES OR CONDITIONS (INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE) TO YOU AND, EXCEPT FOR INDEMNIFICATION, ACCEPT NO LIABILITY WHATSOEVER RESULTING FROM THIS LICENSE. 
GCS has no obligation to support the Product or Your use thereof during the Trial Period. 

TRIAL USE.
GCS grants You this License to install and use the Software on the following: either 
(a) a single workstation or server, or (b) a group of workstations/ servers at a time. 
Your choice depends upon the installation requirements and functionality of the Software you are installing as a trial. 
Ownership of and title to the Product (including any adaptations or copies) is warranted to be held by GCS or its licensors. 
The Product may be delivered to You on Media containing other computer programs and/or Documentation. 
Your License rights extend only to Product(s) for which You have purchased, or have been granted a License, and You have no License or rights in any other program or documentation.

COPYRIGHT. 
The Product is protected by both GERMAN copyright law and applicable international copyright treaties and, therefore, You must treat the Product like any other copyrighted material (such as a book). 
To the extent expressly permitted by applicable law or treaty notwithstanding this limitation, You may copy the Software only for backup or archival purposes, or as an essential step in utilizing the Software, but for no other purpose. 
You will not remove or alter any copyright or proprietary notice from copies of the Product. 

RESTRICTIONS. 
The Software represents and embodies trade secrets of GCS. Except in accordance with the terms of this License or as an essential step in utilizing the Software, but only to the extent expressly permitted by applicable law or treaty despite this limitation,
You agree (a) not to decompile, disassemble, reverse engineer or otherwise attempt to derive the Software's source code from object code; (b) not to rent, lease, sublicense, display, modify, time share, or transfer the Product to any third party; 
and (c) to use reasonable care and protection to prevent the unauthorized use, copying, publication or dissemination of the Product and GCS confidential information learned from Your use of the Product. 

GENERAL. 
You will not export or re-export any Product without both the written consent of GCS and the appropriate GERMAN and/ or foreign government license(s). 
This Contract is the entire understanding between You and GCS and replaces any prior proposal, agreement or understanding of any kind, oral or written, concerning the subject matter. 
If any part of it is invalid or unenforceable, that part will be construed, limited, modified, or, severed, to the extent necessary, to eliminate its invalidity or unenforceability, and the remaining terms will be interpreted to give effect to the intent of the severed provisions. 
This Contract will be governed by, and interpreted in accordance with, the laws of the jurisdiction where the Product is installed. 
Any person who accepts the terms of this Contract or who signs changes to it, promises that they have read and understood these terms, that they have the authority to sign contracts and accept the terms of the License, and that they are authorized to legally obligate Your company to this Contract. 
Under local law and treaties, the restrictions and limitations of this Contract may not apply to You; You may have other rights and remedies, and be subject to other restrictions and limitations.
